By accessing this website or participating in the Apollo Trade token sale, you agree to be bound by these Terms of Service and Investor Agreement. If you do not agree, do not use our services or participate in the token sale.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Apollo Trade LLC, a Wyoming Limited Liability Company ("Company," "we," "us," or "our"). By accessing or using the Apollo Trade platform, website, or services, or by participating in the APOLLO token sale, you acknowledge that you have read, understood, and agree to be bound by these Terms.

3. Token Sale Terms (Investor Agreement)

3.1 Token Description

APOLLO tokens are utility tokens that provide access to the Apollo Trade platform and its services. The tokens:

Are NOT securities or investment instruments
Do NOT represent equity in Apollo Trade LLC
Do NOT provide rights to dividends or profit sharing
Do NOT guarantee any financial returns
May decrease in value or become worthless

3.2 Eligibility

By participating in the token sale, you represent and warrant that:

You are at least 18 years of age
You have full legal capacity to enter into this agreement
You are NOT a resident of a restricted jurisdiction (including but not limited to the United States, China, or any OFAC-sanctioned country)
Your participation does not violate any laws in your jurisdiction
You are acquiring tokens for your own use, not for resale

3.3 Purchase Terms

Token Price: $0.001 USD per APOLLO token during presale
Minimum Purchase: $100 USD
Maximum Purchase: Subject to allocation limits
Accepted Currencies: USDC, USDT, SOL, and approved cryptocurrencies
Refund Policy: ALL SALES ARE FINAL. NO REFUNDS.

3.4 Token Distribution

Tokens will be distributed after the presale concludes
Distribution date: On or before November 30, 2025
Tokens will be sent to the wallet address you provide
You are responsible for providing a correct, compatible wallet address

3.5 INVESTMENT RISKS

YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS:

Total loss of capital invested
Extreme price volatility
Lack of liquidity
Regulatory changes that may affect token value or legality
Technical failures or hacks
Project failure or abandonment
Market manipulation
Tax obligations in your jurisdiction

4. Platform Usage Terms

4.1 Account Registration

To use certain features of the Apollo Trade platform, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account

4.2 Acceptable Use

You agree NOT to:

Violate any laws or regulations
Engage in market manipulation or fraudulent trading
Hack, reverse engineer, or attempt to compromise our systems
Use bots or automated systems without authorization
Impersonate others or provide false information
Transmit viruses or malicious code
Interfere with other users' access to the platform

4.3 Service Availability

We do not guarantee that the platform will be available at all times. We may suspend or terminate services for maintenance, security, or other reasons without prior notice.

5. Intellectual Property

All content on the Apollo Trade platform, including but not limited to text, graphics, logos, images, software, and code, is the property of Apollo Trade LLC and is protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, or distribute our content without permission
Use our trademarks without authorization
Remove any copyright or proprietary notices

6. Privacy and Data Protection

Your use of our platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our collection and use of your information as described in the Privacy Policy.

7. Disclaimers

7.1 No Financial Advice

NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. We do not provide recommendations on buying, selling, or holding any tokens or cryptocurrencies. Always consult qualified professionals before making investment decisions.

7.2 No Warranties

THE PLATFORM AND TOKENS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.3 Third-Party Services

We may integrate third-party services or link to third-party websites. We are not responsible for the content, accuracy, or practices of these third parties.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

APOLLO TRADE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR TOKENS
WE ARE NOT LIABLE FOR LOSSES DUE TO MARKET CONDITIONS, HACKS, OR EVENTS BEYOND OUR CONTROL

9. Indemnification

You agree to indemnify, defend, and hold harmless Apollo Trade LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the platform
Your violation of these Terms
Your violation of any laws or regulations
Your violation of any third-party rights

10. Dispute Resolution

10.1 Arbitration Agreement

Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Wyoming.

10.2 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11. Governing Law

These Terms shall be governed by the laws of Wyoming, United States, without regard to conflict of law principles.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the platform constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apollo Trade LLC regarding the use of our platform and participation in the token sale.

15. Anti-Money Laundering (AML) & Know Your Customer (KYC)

We reserve the right to implement AML and KYC procedures at any time. You agree to:

Provide any requested identity verification documents
Certify the legitimate source of your funds
Cooperate with any compliance investigations

16. Tax Obligations

You are solely responsible for determining and paying any taxes applicable to your token purchase and trading activities. Apollo Trade LLC does not provide tax advice.

17. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
